DGEN DAO

DGEN DAO is to be formally organized as a Wyoming DAO LLC, providing a recognized legal wrapper for the DAO while preserving decentralized governance and on-chain transparency.

The Wyoming DAO LLC structure is intended to:

  • Enable the DAO to enter into agreements, contracts, and service relationships where required

  • Provide clarity around treasury custody, operational authority, and liability boundaries

  • Support long-term sustainability of the ecosystem without introducing centralized ownership

The legal formation of the DAO will occur following the migration of DGEN to Base and prior to the seating of the first elected Community Council.

Governance Voting Infrastructure

Governance voting for DGEN DAO will be conducted using Snapshot, a widely adopted off-chain voting platform designed for transparent, gasless governance.

Snapshot allows token holders to vote using cryptographic signatures without transferring or spending tokens. Votes are publicly verifiable and immutable once cast.

Key governance mechanics include:

  • Voting power is determined by DGEN balances held in a wallet on Base.

  • DGEN must be unstaked and held directly in the voter’s wallet to be eligible for governance voting.

  • All voting rules, quorum requirements, and approval thresholds are defined in this whitepaper.

Transition to Active Governance

1

Completion of DGEN Migration to Base

The migration of the token to the Base network must be completed before governance activation.

2

A defined unstaking window

A defined unstaking window will allow participants to prepare for governance (e.g., to unstake tokens so they are eligible for voting).

3

Formal activation of Wyoming DAO LLC and treasury controls

The Wyoming DAO LLC formation and treasury control mechanisms must be in place before active governance.

4

Snapshot voting on ratification and election

Snapshot voting will be used for:

  • Ratification of this Whitepaper

  • Election of the initial Community Council
